TERMS OF SERVICE These Terms of Service govern your access to and use of warehouse.com.ng (the "Platform"), operated by Warehouse Technologies Ltd ("we", "us", "our"). By creating an account or using the Platform, you agree to these Terms. 1. WHO WE ARE The Platform connects buyers with sellers offering imported and locally available items, stored and fulfilled through partnered warehouses across Nigeria. 2. ACCOUNTS 2.1 You must provide accurate information when creating an account. Seller and Warehouse accounts are subject to a verification and approval process, and are separately bound by their respective agreements with the Platform. 2.2 You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. 3. BUYERS — NO RETURNS 3.1 Buyers may reserve items before a container arrives ("Keep for Me") or purchase items once they have been confirmed as offloaded at the warehouse. 3.2 IMPORTANT — NO RETURN POLICY: All items sold on the Platform are sold "as is", in the condition described and categorised by the seller (Brand New, Refurbished, or Fairly Used) at the point of listing. There is no return, refund, or exchange on any item once it has been purchased and collected or delivered. It is the buyer's sole responsibility to inspect an item, to the extent reasonably practicable, before or at the point of collection. By completing a purchase, the buyer acknowledges and accepts this no-return policy. 3.3 Where an item is materially misdescribed by the seller, or where the Platform's dispute process otherwise applies, the Platform may, at its sole discretion, assist in resolving the matter — but this does not create a general right of return. 3.4 Payment is processed through our third-party payment provider. We do not store your card or bank details. 4. SELLERS AND WAREHOUSES 4.1 Sellers are bound by the Platform/Seller Agreement, and Warehouses are bound by the Platform/Warehouse Agreement, each in addition to these Terms. Commission, fulfilment, and payment terms between a Seller and a Warehouse for a given container are governed by the Seller/Warehouse Agreement. 4.2 Sellers and Warehouses must keep their bank account and payout details accurate and up to date, and any change to these details is subject to verification and admin approval before taking effect. 5. PROHIBITED CONDUCT You must not use the Platform to list prohibited, counterfeit, or illegal items, to misrepresent an item's condition, or to circumvent fees by transacting outside the Platform for items listed on it. 6. INTELLECTUAL PROPERTY The Platform's branding, design, and software are owned by Warehouse Technologies Ltd and may not be copied or used without permission. 7. LIMITATION OF LIABILITY To the extent permitted by law, the Platform is not liable for indirect or consequential losses arising from your use of the Platform, or for the acts or omissions of sellers, warehouses, or buyers. 8. CHANGES TO THESE TERMS We may update these Terms from time to time. Continued use of the Platform after an update constitutes acceptance of the revised Terms. 9.
